1. Agreement to terms

These Terms & Conditions (“Terms”) govern your access to and use of SanghamApp (“the Service”) operated by Prianitha Tech Private Limited (“Prianitha Tech”, “we”, “us”, “our”). By creating an account or using the Service, you (“you”, “the Branch”) agree to be bound by these Terms.

If you do not agree, do not use the Service. If you are using the Service on behalf of a cooperative society, welfare society, or other organisation, you represent that you have authority to bind that organisation to these Terms.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under Indian law. The Service is intended for use by cooperative societies, welfare societies, and similar organisations registered or operating in India.

3. Accounts and operators

  • You are responsible for maintaining the confidentiality of your login credentials.
  • You are responsible for all activity that occurs under your account.
  • You agree to provide accurate, current, and complete information when creating accounts and operator profiles.
  • You must notify us immediately of any unauthorised access or security breach.
  • You are responsible for managing operator roles (admin, cashier, verifier) and ensuring each operator only accesses information appropriate to their role.

4. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
  • Upload, store, or transmit any content that is illegal, fraudulent, defamatory, or infringes the rights of others.
  • Attempt to gain unauthorised access to the Service, other accounts, or related systems.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to send spam, unsolicited messages, or content that violates Meta’s WhatsApp Business Policy.
  • Resell, sublicense, or otherwise commercially exploit the Service without our prior written consent.
  • Interfere with or disrupt the integrity or performance of the Service.

5. Branch data and ownership

You retain all rights to the data you enter into the Service (“Branch Data”), including member records, loan ledgers, transactions, and reports. You grant us a limited, non-exclusive licence to host, store, process, transmit, and display Branch Data solely as needed to provide the Service.

You represent and warrant that you have all necessary rights and permissions to upload Branch Data, including any required consents from members for the processing of their personal information.

6. WhatsApp messaging

If you use the Service to send WhatsApp messages through Meta’s WhatsApp Business Platform, you agree that:

  • You will obtain valid opt-in from each recipient before sending messages.
  • You will comply with Meta’s WhatsApp Business Policy and Business Terms.
  • You will honour opt-out requests promptly and stop messaging recipients who reply STOP.
  • You will not use messaging to send unsolicited promotional content.
  • You are solely responsible for the content of messages sent through your account.

7. Fees and payment

Some features of the Service are offered free of charge; others are offered under paid plans (“Paid Plans”). Fees, billing cycles, and payment terms for Paid Plans will be communicated to you before you subscribe.

  • Fees are quoted in Indian Rupees (INR) unless otherwise stated and are exclusive of applicable taxes.
  • Paid Plans renew automatically unless cancelled before the end of the billing cycle.
  • All fees are non-refundable except where required by law or expressly stated.
  • We reserve the right to change pricing with at least 30 days’ notice.

8. Service availability

We work to keep the Service available 24x7 but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party outages, force majeure events, and security incidents may affect availability.

9. Intellectual property

The Service, including its software, design, branding, and documentation, is owned by Prianitha Tech Private Limited and is protected by Indian and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service solely as permitted by these Terms. All other rights are reserved.

10. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your access immediately, without notice, if you breach these Terms, if required by law, or if continued provision of the Service to you presents a security or fraud risk.

On termination, your right to use the Service ends immediately. We will retain Branch Data only for the period required by law (see our Privacy Policy), after which it will be securely deleted. You are responsible for exporting your data before termination.

11. Disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

The Service is a tool to help Branches manage their operations. It is not a substitute for legal, accounting, or audit advice. You are solely responsible for the accuracy of data you enter and for compliance with cooperative society regulations applicable to your Branch.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRIANITHA TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR INR 5,000, WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify and hold harmless Prianitha Tech, its officers, directors, employees, and agents from any claim, demand, loss, or damage, including reasonable legal fees, arising out of or related to: (a) your Branch Data; (b) your use of the Service in violation of these Terms; (c) your violation of any law or third-party right; or (d) messages sent through your account, including WhatsApp messages.

14. Governing law and disputes

These Terms are governed by the laws of India. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts at Hyderabad, Telangana, India.

15. Changes to these terms

We may revise these Terms from time to time. Material changes will be notified through the Service or by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
